Service Delivery: specific deliverables, timelines, and objectives for any project will be outlined in a separate Proposal or Service Agreement signed by the Client. In the event of a conflict between these Terms and a specific Service Agreement, the Service Agreement shall prevail.
To ensure the success of your campaigns, you agree to:
Provide all necessary access to website back-ends, ad accounts, analytics, and social media pages required for us to perform the services.
Provide requested content, images, and approvals in a timely manner.
Ensure that all materials provided to us (logos, text, images) do not violate any third-party intellectual property rights.
Indian Clients: For clients based in India, all fees are quoted and payable in INR (Indian Rupees).
International Clients: For clients outside of India, fees are quoted and payable in USD (United States Dollars) unless another currency (e.g., GBP, AUD, EUR, NZD) is explicitly agreed upon in the Service Agreement or Invoice.
One-time Projects: typically require an upfront deposit (e.g., 50%) before work begins, with the balance due upon completion or milestones.
Monthly Retainers (SEO/PPC): are billed in advance on a monthly basis.
Late Payments: Invoices not paid within the specified due date may incur a late fee or result in a temporary suspension of services.
All fees are exclusive of applicable taxes (such as GST). You are responsible for paying all taxes associated with your use of our services.
The content on this website (including text, graphics, logos, and software code related to Skyclick Media LLP) is the property of Skyclick Media LLP and is protected by copyright laws.
Upon full payment of all fees, the Client is granted ownership of the final deliverables (e.g., the website code, logo files, or content written for the client).
Skyclick Media LLP retains the right to any background technology, frameworks, or tools used to create the deliverables that are not specific to the Client’s project.
While we employ industry best practices and strive for the “Success Guarantee” mentioned in our marketing materials, Skyclick Media LLP does not guarantee specific search engine rankings, specific numbers of leads, or exact ROI figures. Search engines (like Google) frequently update their algorithms, which is outside our control.
We are not responsible for changes made by third-party platforms (Google Ads, Facebook, Instagram) that may affect your campaigns, including account suspensions or policy changes.
For PPC services, the Client is responsible for paying the media buy (ad spend) directly to the platform (e.g., Google or Meta). Our fees cover management and optimization only.
To the fullest extent permitted by law, Skyclick Media LLP shall not be liable for:
Any indirect, incidental, or consequential damages (including loss of data, revenue, or profits).
Any loss or damage resulting from the use of third-party services or software.
In no event shall our total liability exceed the amount paid by you to us for the specific service giving rise to the claim during the three (3) months preceding the incident.
Both parties agree to keep confidential any proprietary information received from the other party during the course of the business relationship. We will not disclose your sensitive business data to third parties without your consent, except as required by law.
By Client: You may terminate your service agreement with a written notice as specified in your contract (typically 30 days).
By Company: We reserve the right to terminate services if the Client breaches these Terms (e.g., non-payment, abusive behavior).
These Terms are governed by and construed in accordance with the laws of India. Any disputes relating to these Terms or our services will be subject to the exclusive jurisdiction of the courts located in Delhi.
